The following information is intended to provide basic information about the overall structure of the Society's governance and each elected leadership position. All references to the Society shall also include the Houston TSCPA Foundation, the entity which conducts all continuing education activities.

 

OVERALL STRUCTURE

 

Executive Committee

  • Consists of President, President-elect, Vice President, Secretary, Treasurer and Treasurer-elect
  • Meets from 6 to 8 times each year
  • Responsible for routine operations of the Society and all duties other than those reserved for Full Board (listed below)
  • Coordinates Committees and Task Forces as needed to research and recommend Society policy or actions in specific areas

     

Full Board

  • Consists of Executive Committee and 18 Coordinating Directors
  • Meets at least quarterly Responsible for
    • Decision to change member dues
    • Approval of Society budget and all related amendments
    • Review and Acceptance of Society financial statements
    • Decisions regarding committee chairmen, functions and activities of Society committees (other than Personnel Committee, CE Council and Task Forces created by Executive Committee)
    • Decision to propose changes to the Society Articles of Incorporation and Bylaws and submit to a vote of Society members
    • Approval of appointments to the Nominating, Audit and PAC Steering Committees
    • Approval of selection of Society auditors and resulting reports

 

Transition
Newly elected Officers and Coordinating Directors are invited to attend Executive Committee and Full Board meetings, as applicable, as a non-voting participant during the period between election in January and the beginning of the Society year on June 1

Attendance Requirements
Bylaws provide that absence from two consecutive regular meetings of the Board shall constitute a tender of the Director's resignation unless a satisfactory explanation is accepted by the Full Board.

 

PRESIDENT

 

 

  • Term - one year, plus year prior as President-elect and additional duties as Past President
  • Duties of President-elect
    • Broadens knowledge of Society and TSCPA in preparation for official term as President
    • Serves on Personnel Committee
    • Directs planning for next year, including budget preparation and selection of committee Chairs
    • Coordinates TSCPA committee appointments of Society members
  • Duties of President
    • Presides over all meetings of Society, Full Board and Executive Committee
    • Assigns Coordinating Directors to be liaisons to Society committees
    • Creates Task Forces as needed
    • Coordinates all activities of Society
    • Serves as Chair of the Personnel Committee
  • Duties of Past President
    • Serves as Chair of Nominating Committee
    • Serves on Full Board and Personnel Committee
    • May serve for three years on Strategic Planning Committee
    • May serve fir five years on PAC Steering Committee
  • Time required - 200 to 400 hours as President-elect, 400 to 700 hours as President and 100 to 250 hours as Past President
  • Travel required for various out of town TSCPA meetings

 

 

VICE PRESIDENT

 

 

  • Term - one year
  • Duties
    • Attends Executive Committee and Full Board meetings, presiding in absence of President and President-elect
    • Serves on various Task Forces as needed
    • Attends all major Society functions
  • Time required - 75 to 150 hours

     

 

SECRETARY

 

 

  • Term - one year
  • Duties
    • Attends Executive Committee and Full Board meetings
    • Directs Society staff in the fulfillment of specific duties such as sending notice of meetings, keeping minute book, reporting to TSCPA and maintaining a roster of members
    • Serves on various Task Forces as needed
    • Attends all major Society functions
  • Time required - 75 to 150 hours

     

 

TREASURER

 

 

  • Term - one year, plus year prior as Treasurer-elect
  • Duties of Treasurer-elect
    • Participates with President-elect, Treasurer and Society Controller in preparation of next year's budget
    • Co-signs checks over $250 when Treasurer is unavailable
    • Attends Executive Committee and Full Board meetings
    • Serves on various Task Forces as needed
    • Attends all major Society functions
  • Duties of Treasurer
    • Co-signs Society and Foundation checks in amounts over $250 - with two accounts payable runs each month
    • Works with the Society Controller in the preparation and review of Society and Foundation financial statements
    • Attends Executive Committee and Full Board meetings
    • Serves as Chair of the Investment Committee
    • Serves on Personnel Committee
    • Serves on various Task Forces as needed
    • Attends all major Society functions
  • Time required - 75 to 150 hours as Treasurer-elect, 100 to 200 hours as Treasurer

     

 

COORDINATING DIRECTOR

 

 

  • Term - two years, unless filling an unexpired term of another Director
  • Duties
    • Attends Full Board meetings
    • Serves as liaison for one or more Society committees, attending all meetings of the committees, providing guidance and counsel to the Chairs and representing the committees at Full Board meetings where committee actions are to be considered
    • Serves on various Task Forces as needed
    • Attends all major Society functions
  • Time required - 75 to 150 hours

 

 

TSCPA DIRECTOR

 

 

  • Term - three years, unless filling an unexpired term of another Director
  • Duites
    • Attend the TSCPA Annual Meeting in June and the Mid-Year Board Meeting in January
    • Serve on at least one TCPA committee
  • Expenses involved - Directors are responsible for their own travel expenses
  • Time required - 50 to 100 hours

NOMINATIONS COMMITTEE

Any member serving on the Nominations Committee will be ineligible for consideration as an Officer of the Society for the year being considered. The member will be informed of this ineligibility when asked to accept service on the Nominations Committee
